1. Acceptance of Terms
By accessing or using Paybill, you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing Paybill.
2. Service Description
Paybill is a project management and payroll solution designed for construction and field service industries. The platform provides tools for resource management, scheduling, time tracking, inventory control, and payroll processing.
3. User Accounts
To use certain features of Paybill, you must register for an account. You agree to:
- Provide accurate, current, and complete information during the registration process
- Maintain and promptly update your account information
- Keep your password confidential and notify us immediately of any unauthorized access
- Be responsible for all activities that occur under your account
- Not create more than one account per person unless expressly permitted
We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or outdated.
4. Subscription and Payment
Paybill offers various subscription plans with different features and pricing. By selecting a subscription plan, you agree to pay the applicable fees as described at the time of purchase. Payment terms:
- Subscription fees are billed in advance on a monthly or annual basis
- Payment is processed securely through our payment processors
- Subscriptions automatically renew unless cancelled before the renewal date
- Refunds are issued in accordance with our Refund Policy
- We reserve the right to change our prices with reasonable notice
5. User Responsibilities
As a user of Paybill, you agree not to:
- Use the service in any way that violates applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Transmit any material that contains viruses, trojan horses, or other harmful code
- Attempt to gain unauthorized access to any part of the service
- Use the service to transmit spam, chain letters, or other unsolicited communications
- Interfere with or disrupt the integrity or performance of the service
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the service without express permission
6. Data and Content
You retain all rights to your data and content uploaded to Paybill. By using our service, you grant us a license to host, store, and display your content solely for the purpose of providing the service to you.
We do not claim ownership of your content, but you are responsible for ensuring that you have the necessary rights to use and share any content uploaded to our platform.
7. Intellectual Property
Paybill and its original content, features, and functionality are owned by Unycode Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not use our trademarks, logos, or service marks without our prior written consent. The Paybill name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Unycode Limited.
8. Limitation of Liability
To the maximum extent permitted by law, Unycode Limited and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the service
- Any conduct or content of any third party on the service
- Any content obtained from the service
- Unauthorized access, use, or alteration of your transmissions or content
9. Disclaimer of Warranties
Paybill is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Unycode Limited does not warrant that:
- The service will function uninterrupted, secure, or available at any particular time or location
- Any errors or defects will be corrected
- The service is free of viruses or other harmful components
- The results of using the service will meet your requirements
10. Indemnification
You agree to defend, indemnify, and hold harmless Unycode Limited and its licensees, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of Paybill.
11. Termination
We may terminate or suspend your account and access to Paybill immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms of Use.
Upon termination, your right to use the service will immediately cease. If you wish to terminate your account, you may simply discontinue using the service or contact us to request account deletion.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Jamaica, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
